PASAL 1 – DEFINISI
"Calon Peserta" berarti setiap individu atau institusi yang diperkenalkan oleh Pemberi Referensi kepada Ultimate Education. "Siswa Retail" berarti peserta individu yang mendaftar secara mandiri. "Klien Korporat" berarti institusi atau perusahaan yang menjalin kerja sama B2B. "Fee/Komisi Referral" berarti kompensasi yang dibayarkan kepada Pemberi Referensi sesuai perjanjian ini. "Nilai Program" berarti biaya program setelah diskon dan sebelum pajak. "Nilai Kontrak Bersih" berarti nilai kerja sama korporat setelah diskon dan sebelum pajak.
PASAL 2 – RUANG LINGKUP KERJA SAMA
Pemberi Referensi berhak merekomendasikan Calon Peserta kepada Ultimate Education. Semua proses administrasi, negosiasi harga, penerbitan invoice, dan pelaksanaan kontrak sepenuhnya merupakan wewenang Ultimate Education. Pemberi Referensi tidak berwenang untuk: (a) mengikat Ultimate Education dalam perjanjian apapun; (b) menentukan harga atau memberikan diskon; (c) menggunakan nama atau logo Ultimate Education tanpa persetujuan tertulis; (d) membuat pernyataan di luar informasi yang resmi diberikan.
PASAL 3 – SKEMA KOMISI – SISWA RETAIL
Pemberi Referensi berhak menerima komisi untuk Siswa Retail yang: (a) terverifikasi sebagai referensi Pemberi Referensi; (b) belum pernah tercatat dalam database Ultimate Education; (c) telah melakukan minimal DP. Besaran komisi: Di bawah Rp3.000.000 → Rp100.000 | Rp3.500.000–Rp7.000.000 → Rp150.000 | Di atas Rp7.000.000 → Rp200.000. Komisi dihitung dari pembayaran yang benar-benar diterima.
PASAL 4 – SKEMA KOMISI – KLIEN KORPORAT
Komisi dihitung dari Nilai Kontrak Bersih: Hingga Rp50.000.000 → 3% | Rp50.000.001–Rp100.000.000 → 4% | Di atas Rp100.000.000 → 5%. Komisi korporat hanya dibayarkan jika: (a) institusi pertama kali diperkenalkan oleh Pemberi Referensi; (b) belum ada komunikasi sebelumnya; (c) kontrak telah ditandatangani dan pembayaran diterima.
PASAL 5 – KETENTUAN PEMBAYARAN
Komisi dibayar paling lambat 30 hari kalender setelah: (a) pembayaran diterima Ultimate Education; (b) tidak ada pembatalan atau pengembalian dana. Jika terjadi refund penuh → tidak ada komisi. Refund sebagian → komisi dihitung proporsional. Komisi tunduk pada peraturan perpajakan yang berlaku. Pembayaran dilakukan via transfer bank ke rekening yang didaftarkan secara tertulis.
PASAL 6 – LARANGAN DAN ETIKA
Pemberi Referensi wajib menjaga reputasi Ultimate Education dan dilarang: (a) mengalihkan hak komisi kepada pihak ketiga; (b) memanipulasi data peserta; (c) menjanjikan hasil nilai atau jaminan kelulusan; (d) mengungkapkan informasi internal tanpa otorisasi.
PASAL 7 – KERAHASIAAN
Pemberi Referensi wajib menjaga kerahasiaan data peserta, struktur harga, dan strategi internal. Kewajiban ini tetap berlaku setelah perjanjian berakhir.
PASAL 8 – HUBUNGAN PARA PIHAK
Hubungan dalam perjanjian ini bersifat independen dan tidak menimbulkan hubungan kerja, kemitraan, atau keagenan. Pemberi Referensi tidak berhak atas tunjangan karyawan.
PASAL 9 – JANGKA WAKTU
Perjanjian ini berlaku selama 1 (satu) tahun sejak tanggal penandatanganan dan dapat diperpanjang atas kesepakatan tertulis Para Pihak.
PASAL 10 – PENGAKHIRAN
Ultimate Education berhak mengakhiri perjanjian ini secara sepihak jika terjadi: (a) pelanggaran ketentuan; (b) tindakan yang merusak reputasi; (c) penyalahgunaan merek atau kekayaan intelektual. Hak komisi yang telah memenuhi syarat sebelum tanggal pengakhiran tetap dapat dibayarkan.
PASAL 11 – PENYELESAIAN SENGKETA
Setiap sengketa diselesaikan terlebih dahulu secara musyawarah. Jika tidak tercapai kesepakatan, Para Pihak sepakat untuk tunduk pada yurisdiksi eksklusif Pengadilan Negeri yang sesuai dengan domisili hukum Ultimate Education.
ARTICLE 1 – DEFINITIONS
"Prospective Participant" means any individual or institution introduced by the Referrer to Ultimate Education. "Retail Student" means an individual participant who enrolls independently. "Corporate Client" means any institution or company entering into B2B cooperation. "Referral Fee/Commission" means compensation payable to the Referrer. "Program Value" means the program fee after discounts, excluding taxes. "Net Contract Value" means the value of a corporate agreement after discounts and before taxes.
ARTICLE 2 – SCOPE OF COOPERATION
The Referrer shall have the right to recommend Prospective Participants to Ultimate Education. All administrative processes, price negotiations, invoicing, and contract execution remain the sole authority of Ultimate Education. The Referrer shall not: (a) bind Ultimate Education in any agreement; (b) determine pricing or grant discounts; (c) use the name or logo of Ultimate Education without prior written consent; (d) make representations beyond officially provided information.
ARTICLE 3 – COMMISSION SCHEME – RETAIL STUDENT
The Referrer is entitled to commission for each Retail Student who: (a) is verified as referred by the Referrer; (b) has not been previously recorded in the Ultimate Education database; (c) has made at least a minimum down payment. Commission: Below IDR 3,000,000 → IDR 100,000 | IDR 3,500,000–IDR 7,000,000 → IDR 150,000 | Above IDR 7,000,000 → IDR 200,000. Commission is calculated based on payments actually received.
ARTICLE 4 – COMMISSION SCHEME – CORPORATE CLIENT
Commission is based on Net Contract Value: Up to IDR 50,000,000 → 3% | IDR 50,000,001–IDR 100,000,000 → 4% | Above IDR 100,000,000 → 5%. Corporate commission is only payable if: (a) the institution is introduced for the first time; (b) no prior communication existed; (c) the contract is executed and payment received.
ARTICLE 5 – PAYMENT TERMS
Commission shall be paid no later than 30 calendar days after: (a) payment is received by Ultimate Education; (b) no cancellation or refund has occurred. Full refund → no commission. Partial refund → commission recalculated proportionally. Commission is subject to applicable tax regulations. Payment is via bank transfer to the Referrer's registered account.
ARTICLE 6 – PROHIBITIONS AND ETHICAL CONDUCT
The Referrer shall maintain the reputation of Ultimate Education and is prohibited from: (a) assigning commission rights to any third party; (b) manipulating participant data; (c) promising score results or guaranteed outcomes; (d) disclosing internal information without authorization.
ARTICLE 7 – CONFIDENTIALITY
The Referrer shall maintain the confidentiality of participant data, pricing structures, and internal strategies. This obligation survives the termination of this Agreement.
ARTICLE 8 – RELATIONSHIP OF THE PARTIES
The relationship is independent in nature and does not create any employment, partnership, or agency relationship. The Referrer is not entitled to any employee benefits.
ARTICLE 9 – TERM
This Agreement shall remain valid for one (1) year from the date of signing and may be extended upon written agreement.
ARTICLE 10 – TERMINATION
Ultimate Education may terminate this Agreement unilaterally in the event of: (a) breach of any provision; (b) actions damaging to reputation; (c) misuse of brand or intellectual property. Commission rights fulfilled prior to termination remain payable.
ARTICLE 11 – DISPUTE RESOLUTION
Any dispute shall first be resolved amicably. If no resolution is reached, the Parties agree to submit to the exclusive jurisdiction of the District Court at the legal domicile of Ultimate Education.
